GOVERNING LAW

These Legal Terms shall be governed by and interpreted in accordance with the laws of the Czech Republic. Both spyceleb.com and you irrevocably agree that the courts located in the Czech Republic shall have exclusive jurisdiction to settle any disputes that may arise in relation to these Legal Terms.

DISPUTE RESOLUTION

Informal Negotiations
To help resolve and manage the costs of any dispute, controversy, or claim related to these Legal Terms (referred to individually as a "Dispute" and collectively as "Disputes"), both you and we (individually, a "Party" and collectively, the "Parties") agree to first attempt to resolve any Dispute through informal negotiations for a minimum of 90 days before pursuing arbitration. Binding Arbitration
Any dispute arising from or related to these Legal Terms, including questions regarding its existence, validity, or termination, shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise, 146), in accordance with the ICAC Rules, which are incorporated by reference into this clause. The arbitration shall be conducted by three arbitrators. The seat of arbitration shall be in the Czech Republic. The proceedings shall be conducted in the Czech language. The governing law of these Legal Terms shall be the substantive law of the Czech Republic.

Restrictions
The Parties agree that any arbitration will be limited to the individual Dispute between the Parties. To the fullest extent permitted by law: (a) no arbitration shall be consolidated with any other legal proceeding; (b) there is no right or authority for any Dispute to be arbitrated as part of a class-action or to use class-action procedures; and (c) there is no right or authority for any Dispute to be brought in a representative capacity on behalf of the general public or any other individuals.

Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are exempt from the above requirements for informal negotiations and binding arbitration: (a) any Dispute seeking to enforce, protect, or challenge the validity of any intellectual property rights of a Party; (b) any Dispute related to or arising from allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any request for injunctive relief. If this clause is found to be illegal or unenforceable, then neither Party will choose to arbitrate any Dispute covered by the illegal or unenforceable portion of this clause, and such Dispute will be decided by a court of competent jurisdiction, as outlined in the jurisdiction section above, with the Parties agreeing to submit to the personal jurisdiction of that court.

CORRECTIONS

The Services may include information that contains typographical errors, inaccuracies, or omissions, such as those related to descriptions, pricing, availability, or other details. We reserve the right to correct any such errors, inaccuracies, or omissions, and to modify or update the information on the Services at any time without prior notice.

DISCLAIMER

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, REGARDING THE SERVICES AND YOUR USE OF THEM, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
